30+ Years of experience
Since 1993, we provide top-notch, cost-effective, personalized legal and business counseling services to corporate clients and nonprofit organizations. We also advise on the expansion of Puerto Rico-based entities, locally and abroad, and foreign companies establishing in Puerto Rico.
Headed by former Commissioner of Financial Institutions, José Antonio Sosa Llorens, our skilled team gathers extensive expertise in corporate law, financial transactions, and business planning and development. Our work with institutions from Puerto Rico, the United States, and abroad, including appearances before federal and Puerto Rican regulatory agencies, supports both daily decision-making processes and complex, extraordinary matters, always guided by professional ethics and integrity.
Our firm provides advice to commercial banks, international banks, federal and state credit unions, mortgage institutions, investment advisors, and securities broker-dealers in matters such as commercial lending, Bank Secrecy Act and anti-money laundering compliance, asset-based lending, asset securitization, securities laws, insurance, equipment leasing, troubled or distressed asset resolution, loan workouts, and bankruptcy.
We support business enterprises in organizing corporations, limited liability companies (LLCs), partnerships, and other similar entities; mergers, acquisitions, and reorganizations; advising on corporate governance; purchasing and selling shareholdings in companies; business asset transfers; licensing, permits, and corporate compliance.
We advise businesses and nonprofit organizations in their management of labor and human resources issues, such as disciplinary procedures, the Fair Labor Standards Act, fair and unfair labor practices, arbitration, discrimination claims and lawsuits, sexual and labor harassment, drafting and negotiation of employment agreements, disability and workers compensation, wrongful termination cases, non-competition clauses, layoffs, wage and overtime claims, and collective bargaining.
We regularly negotiate, draft, and close multi-million-dollar contracts, transactions, and projects, including the purchase and sale of business concerns and assets, joint venture agreements, employment agreements, construction agreements, commercial and consumer loans, secured transaction documents, and loan workout agreements.
We provide a full range of notarial services, including drafting, execution, and closing of public deeds, affidavits, and validation of notarized documents for use overseas (Apostille). We fully support the closing of residential and commercial mortgage loans and other real estate transactions, including the negotiation, drafting, and execution of agreements for the acquisition and development of residential and commercial properties.
The risk of litigation is a reality of the modern marketplace. We focus on reducing this risk, procuring expedient and cost-effective solutions. We represent corporate, not-for-profit, and individual plaintiffs and defendants in both federal and state courts, as well as in administrative proceedings. We handle cases involving labor claims, commercial litigation, and bankruptcy proceedings. Our services encompass all phases of litigation, including discovery, pre-trial proceedings, trial hearings, settlement negotiations, appeals, and post-judgment procedures.
We represent creditors, including financial institutions, in the collection of business and consumer debts. Our pre and post-judgment collection efforts include filing lawsuits, garnishments, foreclosures of mortgages and other liens over real and personal property, evictions, obtaining and executing judgments in state and federal courts, as well as representing creditors in bankruptcy proceedings.
The firm represents business and nonprofit entities regarding intellectual property rights, including copyrights, trademarks, and commercial or trade names. We handle the registration, acquisition, protection, and dispute resolution of intellectual property assets, including infringement claims, under both Puerto Rican and United States laws, as well as issues related to moral rights, work-for-hire agreements, visual arts, and derivative works.
The Firm provides advice on U.S. immigration matters in a wide range of visa categories, including L-1, H-1B, and other investor visas, for the effective international movement and relocation of employees and executives in compliance with U.S. laws. We also provide support in obtaining Labor Certifications from the US Department of Labor as well as temporary visas and permanent residency for business, managerial, and executive personnel.
